These Official Rules and Terms and Conditions (the “Rules“) govern the Giveaway and form a binding agreement between each entrant and the Sponsor. By entering, you accept and agree to be bound by these Rules and by the Sponsor’s decisions, which are final and binding in all matters relating to the Giveaway.

1. NO PURCHASE NECESSARY

1.1. No purchase or payment of any kind is necessary to enter or win. Entry is free, and participation is not conditional upon, nor does it affect, any prior, existing, or future purchases, subscriptions, or use of the Company’s products or services.

1.2. Making a purchase, subscribing to any service, or providing consent to marketing is not a condition of entry and will not increase any entrant’s chance of winning.

2. ELIGIBILITY

2.1. The Giveaway is open only to natural persons who, as at the time of entry:

(a) are legal residents of one of the fifty (50) United States or the District of Columbia, located in an Eligible Jurisdiction (as defined in clause 3);

(b) are at least eighteen (18) years of age, or the age of majority in their state of residence, whichever is greater (nineteen (19) in Alabama and Nebraska, and twenty-one (21) in Mississippi); and

(c) are not an Excluded Person (as defined in clause 2.2).

2.2. The following persons are not eligible to enter or win (each an “Excluded Person”): employees, officers, directors, agents and representatives of the Sponsor and its parent, subsidiaries and affiliated companies, and the immediate family members and members of the same household of each of them.

2.3. Eligibility requirements apply. Entries that do not meet these requirements will be disqualified, and any prize awarded on the basis of a false or inaccurate statement of eligibility may be forfeited.

2.4. In addition, eligibility to receive any prize is subject to the Sponsor’s compliance screening and verification. The Sponsor reserves the right to disqualify any entrant or selected winner and to withhold, cancel or decline to award any prize where the award or provision of such prize would, in the Sponsor’s reasonable determination, violate or create a risk of non-compliance with applicable sanctions, anti-bribery and anti-corruption laws, ethics or compliance policies, or any other applicable law or regulation.

3. REGIONAL RESTRICTIONS AND STATE REQUIREMENTS

3.1. Regional restrictions may apply. Notwithstanding the Eligible Jurisdictions specified below, the Giveaway is void in any jurisdiction where prohibited or restricted by applicable law or where any applicable registration, bonding, licensing, or other legal requirement has not been satisfied by the Sponsor.

3.2. The Giveaway is open only to residents of the states of the fifty (50) United States and the District of Columbia. The Giveaway is not open to residents of Puerto Rico, Guam, the U.S. Virgin Islands, American Samoa, the Northern Mariana Islands, any other U.S. territory or possession, or any jurisdiction outside the United States (each an “Eligible Jurisdiction”). Void where prohibited or restricted by law.

3.3. The aggregate announced value of all prizes offered in the Giveaway (the “Total Prize Pool”), whether awarded to a single winner or distributed among multiple winners, shall not exceed USD 4,999. For the avoidance of doubt, the Total Prize Pool means the combined value of all prizes offered in connection with the Giveaway and not the value of any individual prize or the amount awarded to any individual winner.

3.4. This Giveaway is conducted solely online and is not offered through, or to promote, any retail establishment; accordingly, Rhode Island retail registration does not apply.

3.5. Entrants are responsible for complying with all laws applicable to them. The Sponsor reserves the right to exclude any state, or any entrant located in any state, at any time where participation would require registration, licensing, bonding, or other regulatory approval, or would otherwise be unlawful.

4. HOW TO ENTER

4.1. During the Promotion Period, visit the Giveaway landing page at http://insiderone.com/bfcm-giveaway/, select one (1) “stay sane” tool and one (1) AI/productivity tool from the options presented (together, the “Selected Combination”), and submit the entry form with the required information.

4.2. Limit of one (1) entry per person for the duration of the Promotion Period. Entries that are incomplete, illegible, generated by automated means, or submitted outside the Promotion Period will not be accepted.

4.3. Submitting an entry does not guarantee a prize. Entry gives you a chance to win only.

4.4. All entries will be processed in accordance with clause 9.

5. WINNER SELECTION AND NOTIFICATION

5.1. 20 potential winner(s) will be selected by random drawing from among all eligible entries received during the Promotion Period, on 30 November 2026.

5.2. In the event of a dispute as to the identity of an entrant, the entry will be deemed made by the authorized account holder of the email address or account used to enter, and “authorized account holder” means the natural person assigned an email address or account by an internet service provider, online service provider, or other organization responsible for assigning email addresses/accounts.

5.3. The odds of winning depend on the number of eligible entries received.

5.4. The potential winner will be notified using the contact details provided at entry. If a potential winner cannot be contacted, does not respond within 3 (three) days of the first notification attempt, is found to be ineligible, declines the prize, or fails to comply with these Rules, the prize may be forfeited and an alternate winner selected at random, time permitting.

5.5. As a condition of receiving a prize, a potential winner may be required to complete, sign and return an affidavit of eligibility, a liability release, and (where lawful) a publicity release, and to provide the tax information described in clause 6.5, within the period specified by the Sponsor.

5.6. Participation in the Giveaway and/or selection as a potential winner does not create any contractual, financial or other obligation on the part of the Sponsor, except for the award of a prize strictly in accordance with, and subject to, these Rules and applicable law. No entrant or potential winner shall have any right or entitlement to a prize unless and until eligibility has been verified and all conditions set out in these Rules have been satisfied. The Sponsor assumes no obligations in connection with the Giveaway other than those expressly stated in these Rules or required by applicable law.

6. PRIZE

6.1. Prize. Each winner will be eligible to receive a one-time cash payment intended to cover the cost of a twelve (12) month subscription to the AI tool or combination of AI tools selected by that winner from the options made available by the Sponsor (the “Selected Combination”), subject to these Rules (the “Prize”).

6.2. Prize Value. The value of each Prize will be determined by reference to the then-current published price of a twelve (12) month subscription to the applicable Selected Combination at the time the Prize amount is determined. Accordingly, the value of an individual Prize may vary depending on the Selected Combination chosen by the relevant winner.

6.3. Total Prize Pool. Notwithstanding anything to the contrary in these Rules, the aggregate value of all Prizes awarded in connection with the Giveaway (the “Total Prize Pool”) shall not exceed USD 4,999. The Total Prize Pool represents the combined maximum amount available for all winners and is not a per-winner amount.

6.4. Prize Cap and Allocation. Each Prize is subject to the availability of funds within the Total Prize Pool. The Sponsor will determine the amount payable to each winner based on the applicable Selected Combination and the remaining amount available within the Total Prize Pool. Under no circumstances will the Sponsor be required to make payments that, in the aggregate, exceed the Total Prize Pool.

6.5. Payment mechanism. The Sponsor will satisfy the Prize by making a single payment to the relevant winner, in United States Dollars (USD). Payment is subject to the Sponsor’s receipt and verification of valid payment information and any tax, identification, eligibility, compliance or other documentation reasonably required by the Sponsor to process, make and record the payment in accordance with applicable law and these Rules.

6.6. Scope of the Sponsor’s obligation. The Sponsor’s sole and entire obligation with respect to each Prize is limited to the applicable one-time payment described above. Once that payment is made, the winner is solely responsible for procuring, purchasing, maintaining, and renewing the relevant subscriptions and for all associated costs, and the Sponsor is in no way responsible for the winner’s financial or contractual obligations to any third-party provider, whether arising before, at, or after the time the payment is made.

6.7. Taxes. The winner is solely responsible for all federal, state and local taxes, levies, and charges arising in connection with the Prize.To the extent required by applicable law, the Sponsor may be required to report the value of the Prize to the U.S. Internal Revenue Service or other applicable tax authority. As a condition to receiving the Prize, the winner may be required to provide a completed IRS Form W-9 or other applicable tax forms, tax identification information, or documentation reasonably requested by the Sponsor. The Sponsor reserves the right to withhold or deduct any amounts required by applicable law and to issue any applicable tax reporting forms, including Form 1099, where required.

6.8. The Prize is non-transferable and non-exchangeable, and no cash or other alternative is available except as set out in these Rules or as determined by the Sponsor in its discretion.

7. COMMUNICATIONS

7.1. By entering, you agree that the Sponsor may contact you in relation to the Giveaway, including to administer the Giveaway, verify eligibility, notify winners, and arrange payment of the Prize.

7.2. Entry into the Giveaway does not, by itself, sign you up for marketing communications. Any consent to receive marketing communications is separate, optional, and not a condition of entry, and is governed by clause 8.

8. MARKETING CONSENT

8.1. If, and only if, you affirmatively opt in through a separate, unticked checkbox, the Sponsor may send you marketing communications about its products and services.

8.2. Marketing emails will comply with the CAN-SPAM Act, including accurate sender identification, a valid physical postal address, and a functioning unsubscribe mechanism, and any opt-out will be honoured promptly.

8.3. The Sponsor will not send marketing text messages or make marketing telephone calls without your prior express written consent, obtained separately and not as a condition of entry, consistent with the Telephone Consumer Protection Act.

9. PRIVACY AND DATA PROTECTION

9.1. Personal information collected in connection with the Giveaway will be processed in accordance with the Sponsor’s Privacy Policy, available at https://insiderone.com/privacy-policy/, and used for the purposes of administering the Giveaway.

9.2. The Sponsor will collect only the personal information reasonably necessary to administer the Giveaway and award the Prize.

9.3. Entrants may exercise the rights available to them under applicable state privacy laws, including rights to access, correct, delete, or opt out of certain processing of their personal information, and the Sponsor will honour applicable opt-out preference signals, in each case as described in the Privacy Policy.

10. PUBLICITY

10.1. Except where prohibited by law, and subject to any separate release required under clause 5.5, acceptance of a prize constitutes the winner’s consent to the Sponsor’s use of the winner’s name, state of residence, and (where separately agreed) likeness for advertising and promotional purposes without further compensation.

11. GENERAL CONDITIONS AND DISCLOSURES

11.1. The Sponsor reserves the right, in its sole discretion, to disqualify any entrant who tampers with the entry process, acts in breach of these Rules, or acts in a manner that is fraudulent, disruptive, or unfair to other entrants.

11.2. The Sponsor reserves the right to suspend, modify, or terminate the Giveaway if it is not capable of running as planned, or if fraud, technical failure, or any other cause beyond the Sponsor’s reasonable control compromises the fair administration of the Giveaway, subject to applicable law.

11.3. The Sponsor does not misrepresent, and will not misrepresent, the odds of winning, the value of any prize, or the rules, terms or conditions of participation. No entrant has been specially selected, and no entrant should infer that entry confers any advantage not available to other entrants.

11.4. To the maximum extent permitted by applicable law, the Sponsor and its affiliates will not be liable for any loss or damage arising from participation in the Giveaway or from acceptance, use, or misuse of the Prize. Nothing in these Rules excludes or limits any liability that cannot be excluded or limited by applicable law.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1. These Rules are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws principles, except where the mandatory law of an entrant’s state of residence requires otherwise.

12.2. The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for the resolution of any dispute arising out of or relating to the Giveaway. To the fullest extent permitted by applicable law, each entrant agrees that any dispute, claim, or cause of action arising out of or relating to the Giveaway shall be resolved on an individual basis only and not as part of any class, collective, consolidated, or representative action, and each entrant waives any right to participate in or bring any such action.
